General Terms and Conditions of TripProfits

These General Terms and Conditions (“Terms”) govern the use of the TripProfits platform, the publication, mediation, booking, and handling of offers, as well as the rights and obligations of organizers, participants, and other users.

1. Scope of Application

These Terms apply to all users of the TripProfits platform, in particular to participants, organizers, partners, referrers, and other persons who use the platform.

Deviating or supplementary terms of a user shall apply only if TripProfits has expressly agreed to them in text form.

Additional terms of the respective organizer may apply to individual offers. Such terms must not contradict these Terms and must be displayed clearly and understandably before booking.

2. Definitions

TripProfits means the digital platform, the technical infrastructure, and the platform operator Mehdi Aljebaay, operating under “TripProfits”.

Organizer means the natural or legal person who creates, publishes, is responsible for, and performs an offer towards participants on the platform.

Participant means the person who views, books, requests, or participates in an offer.

Experience or Offer means any activity, event, travel-related, leisure, experience, adventure, group, outdoor, local, or other service that is published or offered on TripProfits by an organizer.

Booking means a request, reservation, binding booking, or paid conclusion of a contract for an offer.

Partner Program means any referral, invitation, affiliate, partner, or commission program of TripProfits.

3. Role of TripProfits

TripProfits operates a digital mediation, communication, and booking platform. TripProfits provides technical functions, in particular for the presentation of offers, communication, booking, payment processing through external payment service providers, and the management of user accounts.

Unless expressly and clearly stated otherwise in a specific offer, TripProfits is not the organizer, travel organizer, service provider, operator, supervisor, tour guide, carrier, insurer, or guarantor of the respective Experience.

The contract for the performance of an Experience is generally concluded exclusively between the respective organizer and the participant. TripProfits does not become a party to the contract for the performance of the Experience unless this is expressly stated otherwise in the specific offer.

Therefore, TripProfits generally does not owe the performance, safety, quality, availability, freedom from defects, suitability, or success of an Experience offered by an independent organizer.

Technical support in presentation, booking, communication, or payment does not, by itself, result in TripProfits becoming the organizer or service provider of the Experience.

4. No General Travel Organizer Role

TripProfits is designed to digitally mediate third-party offers from independent organizers. TripProfits does not offer Experiences in its own name as an overall service unless this is expressly stated in the respective offer.

Organizers must not use TripProfits to unlawfully offer package travel, linked travel arrangements, transport services, accommodation packages, travel requiring authorization, or other regulated services without fully complying with all applicable legal requirements.

If an offer, based on its actual structure, triggers travel-law, trade-law, safety-law, transport-law, tax-law, insurance-law, or other special requirements, the organizer alone is responsible for checking and complying with such requirements.

TripProfits is entitled to reject, block, remove offers, or request additional evidence if an offer may create legal, safety-related, financial, reputational, or operational risks.

5. Registration and User Account

The use of certain functions requires a user account. Users must provide complete, correct, and current information and protect their login details against unauthorized use.

Users are responsible for all activities that occur through their account, insofar as they are responsible for such activities.

TripProfits may require additional identity, business, payment, tax, or risk checks, in particular before enabling organizer functions, payouts, partner programs, or paid functions.

6. Special Obligations of Organizers

Organizers are independent providers. They are solely responsible for the creation, accuracy, legality, performance, safety, quality, and fulfillment of their offers.

The organizer must in particular ensure that:

  • all offer information is complete, correct, current, clear, and not misleading;
  • the actual provider of the Experience is clearly identified;
  • price, scope of services, date, time, meeting point, duration, and availability are stated correctly;
  • all included and excluded services are clearly identified;
  • all participation requirements, age limits, health requirements, and safety rules are stated;
  • all cancellation, rebooking, refund, and no-show rules are clearly described;
  • special risks, physical requirements, weather dependencies, and equipment requirements are clearly stated;
  • all required permissions, licenses, approvals, registrations, qualifications, and insurance policies are in place;
  • the Experience can be carried out lawfully, safely, and professionally;
  • no false or misleading impression is created that TripProfits is the organizer or guarantor.

The organizer is responsible for planning, organization, performance, personnel, subcontractors, equipment, routes, meeting points, scheduling, safety instructions, emergency management, communication with participants, and the actual provision of the Experience.

The organizer is also liable for persons, employees, vicarious agents, subcontractors, partners, guides, drivers, escorts, or other third parties whom the organizer uses to perform the Experience, insofar as their conduct falls within the organizer’s area of responsibility.

7. Insurance and Evidence from Organizers

Each organizer is obliged, at their own expense, to maintain insurance coverage appropriate to the scope, location, content, and risk of their offers.

This may include, in particular, business liability insurance, event organizer liability insurance, professional liability insurance, accident insurance, transport insurance, outdoor or sports insurance, event insurance, or other activity-related insurance, insofar as such insurance is required or appropriate according to the type of Experience.

Where required according to the type of Experience, the insurance coverage must cover personal injury, property damage, and resulting financial losses in an appropriate amount.

The organizer is solely responsible for checking which insurance policies, permits, safety concepts, participant notices, declarations of consent, or official requirements are necessary for their specific Experience.

TripProfits may request evidence of insurance, permits, qualifications, business data, tax data, safety concepts, or other compliance documents at any time. Until such evidence is provided, TripProfits may restrict or block offers, bookings, payouts, or organizer functions.

8. Obligations of Participants

Participants must carefully read the offer description, participation requirements, safety information, cancellation conditions, excluded services, and notices from the organizer before booking.

Participants may book or participate only if they meet the requirements stated in the offer and if, based on their own assessment, the Experience is suitable for their health condition, physical fitness, experience, age, mobility, and personal risk tolerance.

Participants are obliged to inform the organizer before the performance of all circumstances that may be material for the safe performance of the Experience, insofar as this is necessary and reasonable. This may include, in particular, health restrictions, allergies, pregnancy, disabilities, inability to swim, lack of experience, medication needs, or other safety-relevant circumstances.

During the Experience, participants must comply with safety instructions, participation conditions, local rules, legal requirements, and reasonable instructions from the organizer.

Participants are liable under statutory provisions for damage they cause intentionally or negligently, in particular in the event of failure to follow safety instructions, false information, property damage, endangerment of other persons, or misuse of the platform.

9. Travel Documents, Visas, Vaccinations, Health, and Personal Insurance

Unless expressly stated otherwise in the offer, participants are themselves responsible for fulfilling all personal requirements necessary for participation.

These include, in particular, valid identification documents, passport, visas, residence permits, entry permits, vaccinations, health certificates, medical clearances, driving licenses, qualification certificates, equipment, and other personal documents.

The organizer is obliged to clearly state in the offer any special requirements known to them, in particular if specific insurance policies, vaccinations, health certificates, equipment, physical requirements, or documents are required for participation.

Irrespective of this, the participant remains responsible for checking before booking and before departure whether special requirements apply to their personal situation, nationality, health, travel route, or participation.

Unless expressly included in the offer, personal travel insurance, international health insurance, accident insurance, private liability insurance, trip cancellation insurance, travel interruption insurance, baggage insurance, repatriation insurance, rescue insurance, or other personal insurance policies are not included in the price.

Participants are themselves responsible for ensuring sufficient personal insurance coverage, insofar as this is necessary or reasonable according to the type, location, duration, and risk of the Experience.

TripProfits does not provide medical, insurance-related, tax, entry-related, or legal advice. Information on the platform does not replace advice from doctors, authorities, insurers, consulates, or other competent bodies.

10. Bookings and Conclusion of Contract

A booking is concluded according to the respective booking process. Before completing a paid booking, the essential information will be displayed to the participant.

This includes, in particular, the organizer, the main characteristics of the Experience, the price, possible additional costs, included and excluded services, cancellation conditions, participation requirements, material risks, and payment terms.

The button for a paid booking will be clearly labeled as an order involving a payment obligation.

The participant is obliged to check all booking data before submitting the booking.

11. Prices, Additional Costs, and Excluded Services

The prices displayed on the platform are generally determined by the respective organizer, unless expressly stated otherwise.

The displayed price includes only the services expressly stated in the offer.

Unless expressly included, the following services in particular are not part of the offer:

  • arrival and departure;
  • accommodation;
  • meals;
  • visas, official fees, or document costs;
  • insurance policies;
  • equipment, clothing, or personal items;
  • transport outside the expressly described service;
  • medical services;
  • tips, local fees, or other third-party costs.

The organizer is obliged to clearly state known additional costs before booking. TripProfits is not liable for additional costs of an organizer that were not agreed, insofar as such costs are not attributable to TripProfits.

12. Payment Processing, Stripe, and Payouts

Payments may be processed through external payment service providers, in particular Stripe. Payment processing is subject to the technical, legal, and risk-related requirements of the respective payment service provider.

TripProfits does not store complete credit card data on its own servers.

TripProfits may charge platform fees, service fees, commissions, organizer fees, or other charges, provided that these are displayed or agreed before the payment obligation arises.

TripProfits is entitled to delay, reduce, withhold, set off, or reverse payouts to organizers insofar as this is necessary due to refunds, cancellations, chargebacks, payment disruptions, suspected fraud, complaints, legal violations, safety risks, payment service provider requirements, or outstanding claims.

The organizer bears refunds, reversals, chargebacks, payment service provider fees, contractual penalties, processing costs, and other costs insofar as these arise from their offer, their performance, their conduct, their non-performance, their defective performance, their false information, or their area of responsibility.

13. Cancellations, Rebookings, Delays, and No-Shows

For cancellations, rebookings, refunds, and no-shows, the conditions of the organizer stated in the respective offer and mandatory statutory law shall primarily apply.

The organizer must present their cancellation and rebooking conditions clearly, understandably, and visibly before booking.

If the organizer cancels an Experience, is significantly delayed, changes essential service components, or does not properly perform the Experience, the organizer is generally responsible for the claims of the participant arising from this.

TripProfits may support the technical reversal, communication, or documentation. Such support does not establish TripProfits’ own liability for the performance, cancellation, delay, or defective performance of the organizer.

Unless mandatory law provides otherwise and insofar as TripProfits is not itself responsible for the damage, TripProfits is not liable for additional costs or consequential damages in connection with cancellations, delays, failures, or changes of an Experience, in particular not for costs of flights, hotels, transport, visas, insurance, replacement bookings, loss of earnings, loss of vacation, lost benefits, or other indirect damages.

14. Weather, Force Majeure, and Unforeseeable Events

Experiences may be affected by weather, natural events, illness, accidents, strikes, traffic disruptions, official measures, border closures, security situations, pandemics, war, unrest, technical disruptions, failure of third-party providers, or other events outside the sphere of influence of TripProfits or the organizer.

The organizer is responsible for defining appropriate rules for their Experience regarding weather-related changes, safety decisions, replacement dates, interruptions, refunds, and communication, and for presenting these clearly before booking.

TripProfits is not liable for failures, delays, changes, or damages due to force majeure or other events outside TripProfits’ area of responsibility, unless mandatory law provides otherwise.

15. Safety, Accidents, Injuries, and Risks

Experiences may involve typical and special risks. These include, in particular, physical exertion, weather, traffic, terrain, altitude, water, animals, crowds, sports, outdoor activities, equipment, transport, local infrastructure, third-party providers, illness, injuries, property damage, loss of items, delays, or other travel and activity risks.

The participant acknowledges that such risks, depending on the type of Experience, cannot be completely excluded even with careful organization.

The organizer is responsible for risk assessment, safety planning, participant information, safety instructions, selection of suitable equipment, selection of suitable places and persons, and appropriate emergency measures.

TripProfits generally does not monitor the performance of Experiences on site and does not provide any safety guarantee for Experiences offered by independent organizers.

Claims against the organizer or against TripProfits remain unaffected insofar as they are based on a breach of duty attributable to them and cannot be excluded under mandatory law.

16. Defects, Complaints, and Disputes Regarding Experiences

Defects, complaints, performance disruptions, safety concerns, or other problems in connection with an Experience must be reported by the participant to the organizer without undue delay, so that the organizer has the opportunity to remedy the issue.

Participants may additionally inform TripProfits. TripProfits may voluntarily support communication, documentation, or payment processing.

Support by TripProfits does not constitute an acknowledgement of its own liability and does not result in TripProfits becoming the organizer, service provider, arbitrator, insurer, or guarantor of the Experience.

Disputes regarding performance, quality, safety, cancellation, delay, refund, defects, damages, or other aspects of an Experience must generally be resolved between participant and organizer, unless TripProfits is exceptionally responsible due to its own breach of duty.

17. Reporting Obligations in Case of Accidents and Serious Incidents

The organizer must inform TripProfits without undue delay if, in connection with an Experience mediated through TripProfits, a serious accident, serious injury, death, significant safety disruption, incident relevant to authorities, significant property damage, criminal proceedings, official request, or significant dispute occurs.

The report must be made no later than within 24 hours after the organizer becomes aware of it, insofar as this is possible and reasonable for the organizer.

The organizer must provide TripProfits with all information required for clarification, documentation, communication with payment service providers, authorities, insurers, or affected users, insofar as this is legally permissible.

18. Liability of TripProfits

TripProfits is liable without limitation in cases of intent and gross negligence, in cases of injury to life, body, or health, in cases of an express guarantee, and in all cases of mandatory statutory liability.

In the event of a slightly negligent breach of an essential contractual obligation, TripProfits is liable only for the typical and foreseeable contractual damage. Essential contractual obligations are obligations whose fulfillment makes the proper performance of the usage or mediation contract possible in the first place and on whose compliance the user may regularly rely.

Otherwise, TripProfits’ liability for slightly negligent breaches of duty is excluded.

TripProfits is not liable for acts, omissions, statements, information, services, safety measures, quality, availability, cancellations, delays, accidents, injuries, damages, losses, or other conduct of independent organizers, participants, third-party providers, transport providers, accommodation providers, guides, subcontractors, payment service providers, or other third parties, insofar as TripProfits is not itself responsible for the damage.

TripProfits is not liable for indirect damages, consequential damages, lost profits, wasted expenses, replacement bookings, travel costs, accommodation costs, transport costs, loss of earnings, data loss, or other financial losses, insofar as these are not based on liability of TripProfits existing under these Terms or mandatory law.

The above limitations of liability also apply in favor of the legal representatives, employees, agents, and vicarious agents of TripProfits.

19. Liability and Indemnification by Organizers

The organizer is liable towards participants, TripProfits, and third parties under statutory provisions and according to their contractual commitments for the Experiences offered and performed by them.

The organizer shall indemnify TripProfits against all claims, damages, losses, costs, fees, contractual penalties, fines, refunds, chargebacks, and reasonable legal enforcement costs arising from or in connection with the organizer’s area of responsibility.

This applies in particular to claims due to:

  • unlawful, unsafe, defective, or non-performed Experiences;
  • accidents, injuries, deaths, property damage, or financial losses in connection with the Experience;
  • false, incomplete, or misleading offer information;
  • missing insurance, permits, licenses, qualifications, or safety measures;
  • violations of travel, consumer, tax, trade, data protection, safety, transport, or event law;
  • claims by participants, authorities, insurers, payment service providers, subcontractors, or other third parties;
  • cancellations, delays, non-performance, or defective performance by the organizer;
  • refunds, chargebacks, or payment disputes caused by the organizer’s offer or conduct;
  • infringements of copyrights, trademark rights, personality rights, data protection rights, or other third-party rights.

The indemnification does not apply insofar as the claim is based on TripProfits’ own intentional or grossly negligent breach of duty or mandatory law provides otherwise.

20. Prohibited Offers and Prohibited Use

Users must not use TripProfits for unlawful, unsafe, misleading, fraudulent, discriminatory, glorifying violence, health-endangering, or otherwise abusive purposes.

In particular, offers are prohibited if they are provided without required authorization, insurance, qualification, or legal basis, as well as offers that violate travel, transport, consumer protection, youth protection, criminal, tax, data protection, or safety law.

TripProfits may remove, restrict, or block such offers without prior notice, insofar as this is necessary to protect users, third parties, the platform, or to fulfill legal obligations.

21. Content, Reviews, and Comments

Depending on platform functionality, users may publish content, in particular profiles, offer descriptions, images, comments, reviews, messages, or other information.

Users are solely responsible for the content they publish and must ensure that they possess all required rights and legal bases.

In particular, unlawful, insulting, defamatory, misleading, discriminatory, glorifying violence, pornographic, fraudulent, infringing, or otherwise impermissible content is prohibited.

TripProfits may review, restrict, remove, or block content if there are concrete indications of a violation of these Terms, third-party rights, or applicable law.

By uploading or publishing content, the user grants TripProfits a non-exclusive, territorially unrestricted right of use required for the operation of the platform, in particular for storage, display, transmission, editing, translation, technical adaptation, and promotion of the platform functions.

22. Reporting Illegal Content

Users and third parties may report illegal content, infringing offers, or safety-related problems at: admin@tripprofits.com.

A report should include the affected URL, a description of the content, the reason for the complaint, contact details of the reporting person, and a statement that the information is correct to the best of their knowledge.

TripProfits reviews reports in accordance with applicable law and may restrict, remove, or block content or accounts.

23. Partner, Referral, and Commission Program

TripProfits may offer a partner, referral, invitation, affiliate, or commission program. Participation is governed by these Terms and additional program terms.

Any commissions, credits, or remuneration arise only from genuine, qualified, and recognized platform activities under the program terms, in particular actual paid bookings or other expressly defined qualifying transactions.

Commissions are not granted for mere registrations, fake activity, self-referrals, sham transactions, canceled bookings, refunded bookings, chargebacks, fraudulent transactions, misleading advertising, or other misuse.

TripProfits does not promise income, profit, financial success, or minimum remuneration. Examples, representations, or calculations are for illustration only and do not constitute a guarantee.

Participants in the Partner Program are themselves responsible for compliance with tax law, competition law, advertising law, platform rules, anti-spam rules, disclosure obligations, and other legal requirements.

TripProfits may withhold, cancel, reclaim, or offset commissions if the underlying transaction is canceled, refunded, disputed, charged back, abusive, or unlawful.

24. Third-Party Providers, Maps, Login Services, and Communication

TripProfits may use or integrate third-party services, in particular payment service providers, Google Login, Facebook Connect, WhatsApp, Google Maps, reCAPTCHA, Gravatar, social plugins, e-mail services, hosting services, or analytics and security services.

The use of such services may be subject to additional terms and privacy notices of the respective third-party providers.

TripProfits is not liable for the availability, content, decisions, data processing, disruptions, or services of third-party providers, insofar as TripProfits is not itself responsible for them.

Information on the processing of personal data is contained in the TripProfits Privacy Policy.

25. Data Protection

TripProfits processes personal data in accordance with the Privacy Policy.

Insofar as organizers receive or process personal data of participants, they are themselves responsible for compliance with data protection requirements within their area of responsibility.

Health-related information or other sensitive information may be processed only insofar as this is necessary for the safe performance of the Experience or another suitable legal basis exists.

26. Platform Availability

TripProfits endeavors to provide reliable availability of the platform. However, uninterrupted, error-free, or permanent availability is not guaranteed.

TripProfits may change, restrict, maintain, suspend, or discontinue functions insofar as this is necessary for technical, legal, safety-related, economic, or operational reasons.

TripProfits is not liable for failures, delays, or data losses caused by force majeure, third-party providers, payment service providers, hosting providers, network disruptions, maintenance, cyberattacks, or other circumstances outside TripProfits’ area of responsibility, unless mandatory law provides otherwise.

27. Blocking, Restriction, and Termination

TripProfits may restrict, block, or terminate user accounts, offers, bookings, payouts, partner program access, or platform functions if there are concrete indications of:

  • violations of these Terms;
  • unlawful or unsafe offers;
  • false or incomplete information;
  • fraud, misuse, or manipulation;
  • payment disruptions, chargebacks, or outstanding claims;
  • missing insurance, permits, or evidence;
  • significant complaints or safety risks;
  • official, judicial, or payment service provider requirements.

Where legally required, TripProfits informs the affected user about the reasons for the measure and possible remedies.

28. Consumer Rights and Right of Withdrawal

Statutory consumer rights remain unaffected.

Insofar as a participant has a statutory right of withdrawal, separate information will be provided before conclusion of the contract.

For leisure, travel, event, or similar services bound to a specific date or period, a statutory right of withdrawal may be excluded if the legal requirements for this are met.

Cancellation and refund rules do not replace mandatory statutory rights.

29. Consumer Dispute Resolution

TripProfits is not willing and not obliged to participate in dispute resolution proceedings before a consumer arbitration board.

30. Changes to These Terms

TripProfits may amend these Terms insofar as this is necessary due to legal changes, new functions, technical adjustments, safety requirements, payment service provider requirements, or changes to the business model.

Users will be informed about material changes insofar as this is legally required.

For bookings already concluded, the terms incorporated at the time of booking generally apply, unless mandatory law or an effective amendment provides otherwise.

31. Applicable Law and Place of Jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

With respect to consumers, this choice of law applies only insofar as it does not deprive the consumer of the protection of mandatory provisions of the law of the country in which the consumer has their habitual residence.

If the user is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, unless a mandatory statutory place of jurisdiction provides otherwise.

32. Severability Clause

If individual provisions of these Terms are or become invalid, unenforceable, or unlawful in whole or in part, the validity of the remaining provisions remains unaffected.

The statutory provision shall apply in place of the invalid provision.
